Delete FormMail.pl and Count.cgi?
First of all, what are these and more importantly, can I delete these. Noticed them in all our accounts on the VPS today.
We use PHP to run tell a friend and contact forms so not sure if deleting these will affect anything. Thoughts?

What directories did you find them in?
Could they be part of a script installed into all user accounts by your control panel? The names suggest a counter and mailform scripts which you will find vairents of in any collection of scripts. Have a look at the code - do they look to be doing what their names would suggest?
If they have been added to a number of accounts simultaniously, and not be you or your software, then your VPS may have been compromised as it is very unlikely that several users would decide to place both those scripts in their accounts on the same day...

Keep a backup copy then delete them. If something breaks, then restore them.
