You incorporate a business within a particular state in the U.S. If you're not a U.S. resident, this could be an expensive and difficult process and definitely not worth the trouble if all you want to do is accept credit cards.
You don't necessarily have to be incorporated to get a merchant account. Usually all that's required is a business checking account at a U.S. bank.
There are easier ways to accomplish this, such as using PaySystems.com (Revecom) and Instabill. There have been many discussions about these companies here. Use the search button up top to find the threads.

Indeed, you are totally right. But I want normal transaction's fee's 2%-3%. That would be hard to get going with 3 party.
Also we need authorize gateway so we can automate some things's.
Expensive, well yes. The incorporation prices goes from 700 USA to more. But I am willing to pay if services/solution is good.
Also in long term looking, it's the best is to have merchant account.
I need good long term solution, and from my point of stand to have a company there in USA is that kind of solution. (I can be wrong of course)

Ivan,
I would highly recommend http://www.lhjosephinc.com/. He can do everything you need and does so at a good price. He can also incorporate you in any state you want. I would e-mail him. He is an old guy who has been doing this for a very long time. [I am not related - he just did ours]
Also, I know you will need a US address before you can even incorporate. I also know there are many more rules he can point out.

Do an internet search for incorporating in Delaware. This is the easiest/cheapest state to incorporate in, and lots of businesses specialize in incorporating in just Delaware.

Actually, these days Delaware is generally considered to be the best place for incorporation of a publicly-held corporation -- one with stock being traded on the market. But for a small corporation closely held by a few people, Nevada or Wyoming are both probably better choices. Especially for US residents of other states who want to minimize their state and federal tax liabilities, and for those who want to keep their ownership as "private" as possible.

Check out sfcommerce.com
they do not require any kind of US presence at all.
Just show them your bank account information and Business registration in your country and you have a merchant account.
they don't have info on the website so you'll have to mail to them
by the way
their charges are
$299 Setup
No monthyl fee
2.75% commision
