domain transfer predicament


I built and hosted a site a couple years back and the site has been cancelled/terminated for a couple years now and the business has gone under and is completely dead (I was a part owner of this company too). Anyway, I recently got an email from someone that wanted to buy this company's domain name only. Well, I have access to the domain registrant account area and I cannot get a hold of the old domain owner from like 3-4 years ago. I built their site and managed it completely...and they actually owed me several thousands of dollars for developing it but they went out of business and it's kind of null now like many failed ventures are. Now, all of their contact details are outdated, emails don't work, phone/fax numbers are disconnected and they've moved from the street address. Anyway, they paid for the domain name at network solutions like 4 years ago with their credit card, and it's still active because of that, but they're nowhere to be found and all whois data is outdated. Should I update their information in my name so it's up-to-date and should I sell this domain to this person that wants it? Or what should I do? I'm a little torn, bc the original owners paid for the domain's registration years ago, but I'm the only one that can actually actively execute anything as of now, and if this new company needs that name, I don't want to keep it from them when both them and I could benefit from selling it. I want to do the right thing, but having a hard time figuring out what the right thing is.

Anyway, any opinions and information would be very grateful regardless!

If you aren't the legal owner you do not have the legal right to sell it. If the old owner sees his domain being used for a new company and isn't pleased he may be able to take legal action. I am not a lawyer, but you may want to consult one.

If you're the administrative contact on the domain, then the domain is yours. If your email address is not the administrative contact, then you're not the owner and it would be stealing.

Yeah, that's been my biggest thing, I will probably talk to a lawyer... but again... I can easily make my self the legal owner because I have direct access and login details to their domain manager and no one else does because all other contact details are outdated and dead and they are no longer in the picture.
