I don't think any one here wants to answer this because we are not lawyers.
It looks like a pretty blatant spam email to me. I don't see any possible loophole here.
It's actually fairly hard to violate the CAN-SPAM act. The bill actually protects spammers more than it hurts them, why some call this the You-Can-Spam act.
But unbelievably the sender of the those emails managed to violate the act by not including a removal link. It doesn't even need to be a working removal system since CAN-SPAM doesn't penalize a spammer from sending additional emails to users who have opted to be removed.
I always treat it as AD email and ignore. Many internet business group send out similar emails per day.
Decision on whether it is SPAM or not comes after deciding on whether this is an ethical way of earning business? Surely not IMHO and I'll kick such company out of any consideration...
