View Full Version : Incorporating my Reseller Business

I have just joined this forum and have been reading most of the posts and many of them offer great advices. So I thought of getting some help from the best around here.
I was planning on starting a reseller hosting business along with domain registering and a shopping mall.
I want to incorporate my business as I am totally new in the field. I am residing in U.A.E and they only provide with L.L.C. and its cost it $81,682.
So if i want to do just online business, can I incorporate my business at US or Canada. And would this be legal.

smidwap 11-06-2002, 07:25 PM I don't see much of a need to incorporate your business as a reseller. I don't believe there is anything illegal about not being incorporated as a web host (or for that matter of fact, any other small business). In fact, most hosts aren't incorporated, and for good reason (no need to :D ). I'm not 100% sure about this, so do correct me if I am wrong.
Then again, I don't live in the United Arab Emirates (that is correct, right?), but I've never seen a big issue about getting a small business (especially a web hosting business running off of a reseller package) incorporated.

So I do need as it puts some confidence in custormers to see a Inc. in front of the Name.

2) MyCorporation.com, http://www.mycorporation.com. While I've never used their services, their site offers a lot of information, pros and cons, and other resources for those considering incorporations.
I would have to think that, no matter where you're located, you can certainly find a way to incorporate or form an LLC for much less than the $81,000-plus you were quoted.

I looked into prices, and I think it was around $800 startup, and like $200 a year, which is great. If you incorporate in the US I'm sure you'll be forced to pay taxes. Actually, you may not be able to register in the US?
Do a search on google for offshore entities.

Chachi 11-08-2002, 11:25 AM With our latest budget proposals, here in the UK, it's even easier and profitable for small businesses and the self employed to incorporate themselves. I would recommend looking at incorporating your business here in the UK especially the government is trying to encourage new companies to start up.

Is it per year and how does it last long. I read the Inc. lasts for 10 years and One has to file a affadavit after 5 years to continue the Inc.

IM planning on establishing an online business. But L.L.C. in UAE is extremely expensive for beginners.
So im looking for other alternatives.

PS: I'm on your place has taken the small plan reselling for 100 dollars per annum and began with it, but here is already afterwards has thought there is sense to spend the money on company....

Silveriii 11-10-2002, 05:31 AM I have never done it but i have read that delaware is a choice place to register in the US, they dont charge many of the taxes and tariffs most states do, they get the paperwork rolling on the same day as they are VERY helpfull to businesses.
Like I said i have yet to do it but have read a few places that delaware is a good place to incorporate.
if anyone knows for sure please lt the rest of us Know.

it look slike a great place to check prices out you just pick the state and the corp/llc etc.. that you want and it will give you a quote. pretty cool actually.

I'm not sure how business work outside of the UK...but in the UK setting up a limited company [PLC] is a way of deferring personal financial responsibility for any fiscal problems that may arise with the company.
In other words, as a sole trader, if something goes wrong, all your personal assets can be held against your business creditors. A limited company prevents this from happening - the businesses direct assets are the only assets at risk from creditors.
If you're planning on using a shopping mall, it's highly probable that you absolutely need the equivalence of a limited company.
And as stated above, you absolutely need legal advice.

Silveriii 11-11-2002, 03:04 PM well for one incorporating, can help you keep your personal assets.. the majority of lawyers will say for a small busiiness to go LLC.
if someone for whatever reason desideds to sue your business.. if your incorporated they can only target business assets. same goes if the business goes bankrupt. creditors can only go after business assets.. now if your not incorporated.. and even if you don't have a business licence of any kind then its "somewhat" considered a sole propretership , even though you dont even have that filed out, and they can sue you for your personall assets, meaning if they win and you lose they can come after you bank accounts, your house..anything you own just about. so in the long run its just safer to get a LLC, since it's not that much, and save your "personal" belongings, and have greater piece of mind.. remember these days what you don't know CAN hurt you. and that way if something does happen all they can try and get is whatever "belongs" to the business.. eg computer and business accounts.

edwin_b 11-11-2002, 10:03 PM The best state in the US to Incorporate in my opinion is Oregon, which is where I have 2 Corporations and I also live. It cost me a mere $20 to Incorporate. Takes about 15 days to complete, just depends on your submission method.

Its costing you less coz you are residing in Oregon but i am in UAE. SO for that i will have to hire a Registered Agent and that will cost me around $200 to $300.
Neveda dosent require an individual or a group to reside or to even have a registered agent.
and they cost around $135

As far as taxes, I did not have to pay any taxes when the Corp was formed. Being in Oregon I only have to pay State Income tax, and of course the Federal taxes every quarter.
So to form each corporation was only $20, and the country I live in they don't have any business licensing requirements. So I had no licenseing fees either.

Also I only meant my post to be more funny, than serious. It always seems people like to knock on Oregon, or make fun of us. Not to mention most people can't even pronounce Oregon correctly.

edwin_b 11-12-2002, 09:40 PM Yes it is legal. I don't see much advantage of it though unless you have some high taxes in the state you live in. Oregon is not too bad. But then I also have a corporation in Washington State as well, only because I conduct some business there that is not entirely web related.
But if you are looking to file in another state I would suggest Deleware, they are probablly the most friendly to Corporations.
But if you are reall interested in starting a corporation in another state I suggest you contact whomever handles that in the particualr state. In Oregon it is the Secretart of State's Office, in Washington it is handled by the Deparement of Licenseing.
