From Wikipedia:
Starting on October 29, 2001, only post-secondary institutions that are accredited by an agency on the U.S. Department of Education's list of nationally recognized accrediting agencies are eligible to apply for a .edu domain.

You can explore it more at http://www.educause.edu
The idea is the same as the .gov to actually have legitimate accredited institutions being able to register them.

Generally speaking you would probably not be able to get a .edu domain unless if you were (what basically amounts to) a College of some sort in the States.
If your organization is based in a country other than the United States, perhaps there is some sort of localized .edu root (e.g. .edu.hk, .edu.mx) that does not have as strict restrictions.
Otherwise, you would probably have to use the .org TLD for your organizations.

ok. really frustrating news. i think its too unfair that only US education institutions can get .edu domains. x-(
btw, thanks all for your time.

Yes. I think that demand for the domains will be able to change situation.
I think that it might be better for you to consider third level domains.

There may be a 'solution' - - -
Maybe you could reg. xschool.com or xschool.net
then get the actual schools to reg. xschool.edu and get them to allow you access to the .edu domain to set up redirects, e-mails, etc.
maybe one way of 'dealing' with it

Possibly getting membership with listed educational organization as per ICANN may help you.
