any solution provider availabe? i saw only provide either shopping cart(e.g. os commerce) and portal (phpnuke)

Any design/development agency should be able to handle such a request, the quality may however depend on the budget you have for the project. Most major CMSs can be used for such combinations, some CMSs may actually have all the features you want. There is no best combination, there is just a combination that works for you.

Known to work (to me, there are probably many more): PHPNuke, Mambo, Typo3 and XOOPS.

You might want to check on hotscripts or aspin or similar sites.

Unfortunately when an application has everything including the kitchen sink, its features generally get all washed out. Meaning you've got a lot of breath but no depth.
