Hello,

We have a great RAQ Deal, but it's urgent. We must deactive by midnight today, so act now!!:

We just acquired an AMD box with Ensim, and are ready to unplug/discontinue the RAQ in order not to incur the extra monthly charge.

However, if we can avoid doing this, it would be great. So, that's why we are proposing the following Deal. Read carefully and respond by PMing me if you are interested.

Terms and Conditions

This deal is almost like a managed server solution. You get full use of the rack (sone restrictions apply), but:

1) We, the owners of the RAQ, will continue to use this RAQ as

a) A BACKUP SOLUTION in the event of failure on our main AMD Box. This means that we will continue to add sites to this box for backup purposes only, but NONE OF THE SITES WILL ACTUALLY BE ACTIVE. In other words, you will have the full resources of the server for yourself (see configuration below). It is only in the case of a disaster on our main AMD box that we will activate our sites on the RAQ, but this will be only for a few days at a time, that is, this activation will cease once the main AMD box is restored to full service. Then, you would once again have all the box and its resources all for you.

Indeed, since we paid for the setup fees on this RAQ, you are saving a lot over time.

b) Administrators: we understand that someone paying for a machine like that may want to assume full control over it. However, experience shows that when it comes to legalities, one is never too sure. The reasons for us to continue to assume Admin and Root control are as follows (below we will specify the conditions of use that will bind us together):

- We cannot run the risk of seeing someone using the server in a way that will jeopardize both their own services and ours. For instance, if we give root access to the server to our partner, and the partner manipulates files that will corrupt the server, we are the ones who would be paying for the restore and damages. And we would, because of this, lose time working out the restore and other stuff. Yet, time is money.

- We cannot run the risk of seeing the server put to usages that will jeopardize both the interests of our partner and our own (backup) interests. NOTE: Below, we will specify the usages to which the server must be put.

3) CONDITIONS OF USE

Because of the above restrictions, here is how we believe you will be able to use the server.

Because of the restrictions on your ability to be Admin and Root for the server, this means that we will have to act as YOUR EMPLOYEE. In other words, we will serve as your Server Administrator for everything that pertains to:

- addition of sites within 48 hours, so that your customers would be up and running within that time period. Although we can add sites more quickly than that, the 48 hours is a safe rule.

So, you send us, by email or Trouble Ticket (you will have access to this), all the website info you need for your customers. We simply add the site for you, and thereafter, you deal with your customers directly for any other support issue. Indeed, your customers do keep all their site privileges and can SSH, FTP, and do all the things that a site owner can do.

Indeed, you provide the configurations for each site, and we do it for you. If you sell different configurations, and a customer whats to upgrade or down grade, we do all that for you, just as if we were an employee of yours.

- Dealing with RackShack if there is a problem. Indeed, since you know RACKSHACK, you should be aware of how they deal with us, so whatever we do is transparent. You know where the server is, and in case of problem, you know who we are dealing with. So, the solution will depend on their ability.

Indeed, it is clear that the server will never fail because we personally did something to it. Since we are not using it for any other purpose than backup, it can fail only either independently or because of your usage (sites taking ressources, etc.), not ours. In other words, our sites will take only hard drive space and lay dormant.

- The partner must use the server ONLY for Websites that are not going to require exceptional ressources. By exceptional resources, we mean websites that are not going to require that someone goes into the server to do frequent tasks.

In other words, it is in both your interest and ours that you put on this server only those "MILD" users who are not going to request complex things such as subdomains, and other things that require MANUAL modification of sensitive server files such as httpd.conf and others. We wanna keep the machine as safe as possible. So, you may want to limit this server only to those customers who will request things that can be done from the Admin interface. When such a request is made, we will act on it on your behalf. Simply introduce a trouble ticket.

Indeed, if you are selling different site packages, simply give us the features for each site and we will do it for you.

Exceptionally, we will do some stuff, but only when we are sure that they do not compromise server security, safety, performance, and so on. We wanna keep the server safe and working as much as possible.

4) We will monitor the Cobalt packages site and update the server with any recent safe update. Indeed, if you see an update somewhere that is not on our list (we will provide the list), request it and will install it. Only the official packages released by Cobalt will be used, if they are safe. If you have a RAQ, and you have safely installed some of the packages, then we will seek to replicate this on this server for you.

RATIONALE

As we said above, the server is almost fully yours. It is fully yours in terms of all the server resources. We use it only as a backup solution and the sites we keep on it are simply for backup and not activated.

So, we are almost like your employee, taking care of adding sites for you and fixing the server in case of problems.

As we said, the server is yours. You can do pretty much what you want with it, the only thing is that it has to be through us because we want to make sure it remains secure. And you will indeed be helping us to make sure that it remains so. That's why we are not giving Admin or Root Access to you, in order to ensure that no unsafe manipulations are done. WE will simply agree on what Cobalt packages to install, and if they are safe to install.

BILLING

Since Rackshack will be billing us monthly, we will also have to bill you monthly.

However, each month will simply be billed in advance and each monthly charge is not refundable.

Indeed, you will have a full 300 GB bandwith for yourself. However, should you go over it, we will bill you for the overages to cover what Rackshack will charge us, plus service fee. If you go over the bandwith at least once every month, then we will add the cost of the overage to your next monthly fee. This means that we will start to bill you additional GB of bandwith every month.

For instance, suppose you used 350 GB on a given month. Well, we will charge you the cost of 50GB. Then, in anticipation of any other overage, we will bill you the cost og 50 GB in advance in subsequent months. The idea is that any server that has gone up in usage is likely to continue to do so. So, billing in advance will keep us safe.

We handle our own billing. That is, we will bill your credit card and the name of our company will appear on your credit card's monthly invoice. We take MASTERCAD adnd VISA.

COST OF DEAL

We thought at first that we should ask for the full $99 that Rackshack charges us (plus tax of course). This would only be fair because even if the server would be technically yours, the fact that we would be managing it for you requires some payment. So, $99 would probably be fair.

However, because we understand that you will not have full Admin privileges, and we will still be using it somewhat in case of emergency, we believe $90 per month is a fair price (we pay the taxes on the server, you know!). You have full use of the server, and no setup fee or tax to pay. PLUS, we work for you adding the sites for you, and configuring them to your liking.

Note that we are making no profit off of this server because we are giving to you for less than the monthly price that we are paying. So, it's a good deal. and you have a free employee.

Indeed, what precedes is pretty much our contract. WE (you and us) agree that the server is yours totally in ressources, and only partially in hard drive since we will be using it for backup. Only exceptionally will it be used by us in a temporary way if our other server fails for a length of time that would force us to reduce the downtime for our web sites. And you agree not to put the server to uses that will severely compromise both of our ability to secure the services for which we are using it.

You are also responsible for making sure that you put on the server only clients who will not put it to severe strain. You understand that should one of your clients cause strain, and such strain result in us being forced to pay fees to Rackshack for troubles, then you you will be billed the cost and required to take action against such client. You can, in turn, bill them to recoup on what you will be billed.

If you are interested, PM me, so we can make the deal as soon as possible.

Note that, when agreed, I will require from you (for legal and reasons of safety):

- a copy of your Driver's Licence
- A copy of your Credit card matching your name on the ID

NOTES

Indeed, the terms of this contract can change and are not limited to what is stated above. For instance, if Rackshack starts charging higher monthly fees, then you understand that we may have to adjust your monthly fee too...

Also, note that a server is a machine. It is meant to fail from time to time. Because we are not going to be using the server beyond keeping dormant sites on it, you understand that the server may fail. It has been stable so far, has only about 10 dormant domains on it and is pretty stable. So far, no problem with it. We just finished transfering all the sites three days ago, and all have activate on the new server.

So, be aware of the fact that while we will attempt to solve any problem with the server, we cannot bear the cost of repairs. So, should any fees be incurred because of troubles with the server and we have had to pay Racksack something, then such costs will have to be transfered to you, and we will bill you for the eact amount charged to us by Rackshack. Any such trouble will be dealt with transparently and you will have the ability to know what Rackshack charged, and what you must pay to get such repairs. We will NEVER charge you for fixes that are free at RACKSHACK. We will simply transfer to you any costs charged by RackShack, sinec we assume that you would have been paying such costs to them anyway if the server had encountered such problems, and you cannot fix such problems yourself. So, it will be normal for you to pay for such repairs, even if you do not have Admin and Root priviledges. But because we are not going to do anything to the server via the command line, you can be sure that your server will be safe. Indeed, each time we go in there, we will warn you, and most of the time, when we go in there, it will be to help you solve issues.
