Hi,
we sell shareware form portals and now want to sell it ourself.
For that we need to open a US incorporated company.
Are there any advices on State where to opne it?
Many companies are in Delaware. And it seems there is no sales tax. Does that mean I don't need to pay anything from sales at all? Right now 50% of our customers from US, and most of them not from Delaware. I don't need to pay sales tax for them, if the company in Delaware?

Just wondering, why do you need to be incorporated in the US if you want to sell it yourself? Are you looking at getting a merchant account? If so, many of them only require a sole proprietor and their business TIN or personal SSN.

We need to use payment gateway, because a lot of our customers provide us with credit card data, without using web,and we need solution to process them automatically.
I called Verisign and they told me that I need an US incorporation to use their service.
I also need MAP, so I'm researching possibilities now.
I'm located in Germany, hopefully my banks can help me with that.

Try worldpay.com. They're a part of the Royal Bank of Scotland and offer multi-currency processing.

If you are a foreign entity, Delaware and Nevada are good, with Nevada becoming very agressive lately and offering things that Delaware does not. If you are in the US, it is best to just incorporate in the state in which you live, if you are a small business.
I was thinking incorporating in Delaware myself, until I spoke with a couple attorneys that said the same thing: either way, if you operate out of one state, and are incorporated in another, you will pay tax in the state in which you operate, and, technically, have to register with that state as a foreign corporation. Lots more paperwork. It's a headache.
If you are a foreign company, however, you do not need to register in the US in order to sell software to companies or individuals here. If you are planning on getting a mailing address here, and doing business from US soil, then you will need to register your business in the US.

Are your volume so good to pay fees for company setup/support? Then you have to pay Federal Tax and hire an accounting to prepare tax return.
Delaware is not good for incorporation. There are many other states for it. Nevad for instance.
If you are in EU, then why don't you get a merchant account there?
If you don't want to pay for incroporation and etc , then always there is the 3rd party processing option for you.

Verisign is only an electronic payment gateway actually. You will still need a MAP to process
