Host4Sale 02-08-2002, 12:39 AM We are a small webhosting company and are looking to sell. Some specifics are below. We do not sell ultra cheap webhosting with oversold bandwidth. Our plans are considered high priced by many but we consider them reasonable. They start at $14.95/mth and go up depending on the package (with being as low as $10 for 1 year prepaid). We currently use Cpanel on our one dedicated server for virtual accounts. Most billing accounts are through Revecom which you can just take over, but a few are through our merchant account which is not included (the merch account). For those we will send all billing info (contracts & cc #'s)
119 domains (not clients)
30-Day Accounts: 50 (577.61/mth)
90-Day Accounts: 25 (1,115.35/qtr)
360-Day Accounts: 37 (4,865.70/yr)
a few above are combined for multiple domains so it doesn't equal 119 exactly.
The server all these are on is a:
Dual P3 1GHZ
1GB RAM
2x 40GB Drive with the second one as the nightly backup drive
The server lease is from PwebTech from and the lease lasts till April 13, 2002 and includes 50GB bandwidth for $325/mth and we are not going over that (includes the cpanel license). Server lease can be talked about if you want to keep it or not.
Also 1 Dedicated Server leased to customer:
Rachshack resold. He is being charged $149/mth on a $99/mth server using ensim.
Other valuable assets included with the sale.
1 License of ModernBill (http://www.modernbill.com)
7 Licenses for ShoppingQ (http://www.shoppingq.com)
2 Other scripts we had made including a reseller/developer database

Always interesting to see some unnecessary and poor name-calling.
If I was serious about selling something along these lines, I would most certainly provide a 'real' email address.
How difficult would it have been for host4sale to set-up a email account using a spare domain, or even his ISP address?

Your right, I don't want this thread to rurn into something nasty
But but with that said anybody who signs an NDA can get my shoe size & grandmothers maiden name for all I care so it doesn't matter what email address I use until I get that. Using a "spare domain" or "isp email" is no different then a yahoo address.

I have read the license agreement and it states

Which means we as a hosting company cannot sell out license to a new company. But our copy of modenbill is owned by our hosting company and we are selling the hosting company. So the license of modernbill is not being transfered to a new entity, it is remaining the property of the hosting company which is gaining new ownership.

Please get a lawyer. No matter how you try to rationlize it, it's extremely likely that you'll be merely transferring assets, and modern bill has every right to enforce their EULA.
But why argue? It's only what, like $100?
I'm sure the new owner could pay a license fee to MB and keep your customer data intact in the same database if they so desired.
Not that it matters, no doubt you'll hand the keys over to the new owner anyway.

ADEhost 02-14-2002, 02:50 AM there can be a play of words but here are some loopholes.
1) if the seller of the hosting company is an INC. in the USA. the purchase is an asset of that company. and
so if I buy the entire firm I own that copy. but that still dose not give me the right to use it. I woudl be able to use it if the buyer ( let say me ) purchased the comapny and kepted it seperate via a holding company.
Now what I could do is have the purchased company manage all the billing aspects for me. now I got some software, some accounts and a seperate billing section. :)
2) If the firm in question is in Californina, most EULA can not be enforced. Why current laws on software and the rights of the users of that software where just ruled upon. the ruling is in favor of the purchaser of the software. over the counter or over the internet.
