I have a windows system with 1 root directory 40 sub directories and 65 sub-sub directories. each directory holds about 100 to 500 files ( all html ).
I would like to know if there is a simple way to upload the whole entire thing in 1 shot. I need to keep the directory structure intact.
can anybody give me an idea?

That must be one huge website! Probably bigger than the "About Me" section of my personal website. :D
Anyway, unless I'm misunderstanding, I think your problem is easily solved. It just depends on the ability of your FTP client. If you are used to using DOS or a very basic client I can see where you are concerned.
I would recommend grabbing CuteFTP, it has a windows-like interface. Like most popular clients, all you have to do is select the root folder you want to upload, and it will create all the subfolders and files on down the line as necessary. It's a no-brainer: the program will do the work.
Forgive me for oversimplifying, I just re-read your post and now I think you meant you need to upload it all in one file, eh? In that case it depends on the target system and what access you have. The only way I know of is to archive it and then extract it on the target system.
Some systems support zip files, so you would be able to ZIP your root-level folder, and upload it in one chunk no problem. You would then need telnet access probably to go in and unzip the file. Most systems support .tar.gz but you'd have to find a tar/gzip program for windows.
If you don't have telnet access to the server, I don't think it can be done. Whatever method you use, you would have to be able to get on the other machine and extract the data back into files.
There's a couple guesses - if I'm way off on what you meant just post again and I'll see what I can do.

Due to huge holes in my brains I lack tons of knowledge. your answer is right along my line of thinking. Thank You VERY MUCH
With cuteftp it would seem to be a cut and paste operation ( i'm going from a windows/dos platform to a linux system). This should keep the directory structure in place ( I would hate to type 2600+ directory names )
I would like to find a program that can do the tar & gzip for windows. because that way I don't commit to 1 FTP software platform ( I hear that Cute FTP is a pain to uninstall )

p.s. the total zip of this file = 19 meg's
the web site will be just some information pertaining to music and the industry players within the community. it's just a private database.

Go there for downloads and to do searches for various types of programs (like the tar one you're looking for). Whoever said CuteFTP was hard to install must not install much because it's pretty much just a basic standard "click next" installer.
With cuteftp all you'd have to do is dragon the root folder on the local side to the remote side (server) and it will upload that directory and all its contents to the server as they are on your computer.
