i inquired into a mention by someone to check out atmail and uh, they don't answer their mail so as sweet as their site looks, i don't think i would want to BUY an email product from a company that has a hard time answering their own mail...
which leaves james open src for the task unless someone has a perl recommendation out there or does anyone have some experience with james for nt?

Are you looking for a mail server or a web mail system?
If it is a mail server you are looking for you might want to look at http://www.mailenable.com
I think the pro version comes with webmail so that would take care of both of your ?requests?

two answers to these two questions:
a) why perl? yes, I know java has devotees and is kewl and all but honestly, the whole open source thing needs more followers since it usually results in faster development, more features, more freeware and free is good free is good... a lot of wm's who don't code a lot are at least dabbling in perl and a lot more are full blown coders... so I support that movement, made a choice a long time ago (I code in 20+ languages) to lean towards perl whenever possible and there isn't a whole lot of open source java and I like to tinker in mods I glom from sites too... so even if I had a perfect java or asp or J+ or C++ ap as soon as a perl utility came around and I had a moment, I'd switch in a heartbeat.
b) pro version? as in spend money? uh, I am so broke I can't even pay attention, my pockets and pants would be full of holes if I could afford clothing and my shoes are so holey jesus wants to borrow them for his next gig. in all fairness to atmail I did write that we wanted to use their software on an NT box for an edu corp and were (big hint) looking for an edu license at a fee we/I could afford in exchange for promoting them here and at 20+ sites elsewhere...and they didn't reply, but again, you'd think they'd at least say, sorry... no reply is kinda rude... but I do have to give them a little credit for offering an open source perl ap... and maybe their just too busy. whatever..
so, once again, since I assume most of the folks here know about most of the stuff out there and nobody has come up with a shareware/freeware/perl based mail server that means there may not be one out there... nice niche to the first guy to code it... maybe me...we shall see
and in answer to mail server vs mail system I am not sure of the difference... I want a full system that can receive emails, send smtp emails, handle pop requests from clients, offer an online webmail system to clients and handle multiple domains and run on both unix/linux and NT ... pretty fat ap and spec requirement all in all... i thought that was kinda called a mail server but mail system might be the right term

Then you may want to look at the free version of http://www.mailenable.com and install horde/imp for your webmail.
horde/imp is PHP but is is free *and* it is nice.

thank you and it looks and reads great... does almost everything I want and when I am stable and have a test machine I may try it but I am wary of software that requires a lot of MS components to run since: a) that creates a dependency on a product that won't migrate and b) apache and NT2000 has enough bugs/vunerabilities to patch without adding a more complex MS environment. I shy away from adding so many drivers a server or PC take 3 minutes to boot. I come from OLD (I mean pre-) DOS days and like a system that comes up in under 60 seconds. Adding a bunch of MS components to slow this down is, uh, well, I gotta test it before I trust it kinda thing.
YES, though I have to say, you have come the closest to nailing it for me but I am still sitting on the fence checking out the herd before I go shoot me some dinner.
