What would be the difference between the two from the web hosting point of view,
Hosts side as well as clients side,
Is it worth getting a winnt server upgraded to Win2k?

I would say a move to W2K would be a smart one. W2K and IIS 5 are much more stable than NT and IIS 4. IIS 5 handles memory more efficently, is faster and easier to administer than IIS 4.0, includes ASP 3.0 and many more things.
I would recommend (if at all possible) that you migrate over to a new server w/ W2K instead of upgrading your NT box. I have yet to see a smooth transition in a direct upgrade.
Hope that helps,

As I know win2k has some new administrative level features. So it will help u to manage your server properly.

If you have tons of website, the ability to sort IIS by web-name is enough reason to switch to Win2K :stickout
Also, remember Win2k DNS, the ability to add more IP without reboot, better NTFS permissions, and better hardware compatibility are even more reason to switch to win2k.
I just hate the numerous number of reboots using NT4
