Dear Mr. Jones:
Thank you so much for writing to me regarding your support of S. 2673, the "Public
Company Accounting Reform and Investor Protection Act of 2002" and S. 2010, the "Corporate and
Criminal Fraud Accountability Act of 2002". I welcome the opportunity to respond.
As you may know, the "Public Company Accounting Reform and Investor Protection Act of
2002" was introduced by Senator Paul Sarbanes on June 25, 2002 and passed the Senate by a
Yea-Nay Vote of 97 - 0 on July 15, 2002. I am very much in support of this legislation. I believe
that there needs to be full disclosure in corporate financial filings, and that we must work to restore
investor confidence in our nation's securities markets. I believe that with tougher laws, and with the
help of a Public Company Accounting Oversight Board, we will be successful.
You should also know that I strongly support S. 2010, the "Corporate and Criminal Fraud
Accountability Act of 2002". This legislation would increase much needed penalties for white collar
crime by providing for criminal prosecution of persons who alter or destroy evidence in certain
Federal investigations; it would protect whistleblowers against retaliation by their employers; and
would amend Federal or State securities laws that will hold securities violators financially responsible
for fraud and other violations of securities laws. This bill had been sent to the Committee on the
Judiciary Subcommittee on Crime and Drugs where it awaits review.
I firmly believe that we cannot stand idly by and allow companies and the heads of companies
to continue to act dishonestly and without integrity -- which is why I will work hard with my
colleagues to see that S. 2010 is passed along with S. 2673.
Once again, thank you for your letter. I will keep your comments and concerns in mind as
the Senate continues to debate this legislation. I hope that you will continue to share your thoughts
and ideas with me. If I can be of further assistance, do not hesitate to call my Washington, D.C. staff
at (202) 224-3841.
Sincerely yours,
Dianne Feinstein
