If I where you... just go to the websites of the big boys... which have similar services like you offer. I would never do a copy and paste :D but doing this, could be a good start to see what exactly is important...

Use the TOS from the company that you are going to be working for, so your clients won't violate any of their rules and you're safe if they do.

Most hosts let you use their TOS if you are reselling. Ask them first though:D

A lot of TOS are terrible, even stupid, with some clauses that are both stupid and would not hold up in court. Aside from the fact that you can't reinvent anything (since it is an oxymoronic term), you could make a list of major factors and look at them from the customer's perspective as well as your own. Make them fair and balanced. What many hosts call abusing resources is simply unexpected growth for a site.
